By accessing our website, placing an order, or approving a production quotation, you agree to be bound by these Terms. If you do not agree, do not use our services or purchase our products.
1. General Commercial Scope & Eligibility
Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction to place orders or enter into binding commercial contracts with Leather Origins.
Account Responsibility: If you create an account for wholesale, B2B purchasing, or direct ordering, you are responsible for maintaining the confidentiality of your credentials and all activities occurring under your account.
2. Product Specifications & Safety Disclaimer
Protective Apparel Nature: Leather Origins manufactures motorcycle garments and protective gear engineered with impact-absorbing armor pockets and abrasion-resistant materials designed to enhance rider safety.
Riding Risk Acknowledgement: Motorcycle operation is an inherently hazardous activity involving significant risk of physical injury or death. Protective apparel, regardless of construction grade or CE certification level, cannot guarantee total protection against all impacts, abrasions, collisions, or injury scenarios.
Proper Use & Maintenance: Customers and riders are solely responsible for ensuring proper garment fit, correct positioning of certified armor inserts, and regular inspection of seams, zippers, and leather condition before riding.
3. OEM / ODM Manufacturing & Custom Orders
For private-label clients, custom orders, and bulk manufacturing runs:
Tech Pack & Spec Approvals: Production begins only after the client approves final digital tech packs, material swatches, sizing measurements, and physical counter-samples.
Custom Variations: Natural leather is an organic material; minor variations in natural grain texture, pull-up characteristics, and shade consistency are normal and inherent to genuine hide production.
Client-Supplied Assets: Clients providing logos, artwork, custom patterns, or trade marks warrant that they own or hold valid licenses for those assets and indemnify Leather Origins against any third-party infringement claims.
4. Pricing, Invoicing & Payment Terms
Currency & Quotes: All prices and quotations are provided in USD (or agreed contract currency) and are valid for the period stated on official proforma invoices.
Payment Processing: Full payment or agreed milestone deposits (e.g., 50% deposit upon sample approval, balance prior to dispatch) must clear before production stages proceed or goods are released for shipment.
Taxes & Duties: Prices do not include destination import duties, VAT, customs clearance fees, or local brokerage charges, which remain the sole responsibility of the buyer unless explicitly agreed under DDP (Delivered Duty Paid) terms.
5. Shipping, Logistics & Risk of Loss
Dispatch Timelines: Stated production lead times and shipping schedules are estimates based on material availability and standard transit. Leather Origins is not liable for delays caused by customs clearance, carrier disruptions, weather anomalies, or port congestion.
Title & Transfer of Risk: Unless specified otherwise in a formal Incoterm agreement (e.g., FOB, CIF, EXW), risk of loss passes to the buyer once the consignment is handed over to the designated freight forwarder or shipping carrier.
Inspection Upon Arrival: The buyer must inspect all cartons and report any structural damage, missing cartons, or manifest discrepancies within 7 business days of physical delivery.
6. Returns, Exchanges & Cancellations
Standard / Retail Items: Unworn, unaltered garments in original condition with all tags and protective armor intact may be returned or exchanged within 14 days of receipt. Return shipping costs apply unless the item is verified as defective.
Custom & Private-Label Production: Custom-manufactured garments, bespoke sizing runs, and OEM/ODM private-label merchandise cannot be returned, refunded, or canceled once fabric cutting and production have been formally authorized by the client.
Manufacturing Defects: If an item exhibits a verifiable defect in stitching, hardware, or material integrity, Leather Origins will repair, replace, or credit the affected unit upon photo verification or return inspection.
7. Intellectual Property
Brand Ownership: All content on this platform—including the Leather Origins name, logo marks, graphics, product photography, copy, technical layouts, and website code—is the proprietary property of Leather Origins and protected by international copyright, trademark, and intellectual property laws.
Prohibited Use: You may not copy, reproduce, scrape, reverse-engineer, or commercially exploit any part of our brand identity or digital catalog without our prior written consent.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
Leather Origins, its directors, employees, and suppliers shall not be liable for any indirect, incidental, punitive, special, or consequential damages resulting from the use or inability to use our products or services.
In no event shall our total aggregate liability for any claim arising out of or related to these Terms or any purchased product exceed the total amount actually paid by you to Leather Origins for the specific order in question.
9. Indemnification
You agree to defend, indemnify, and hold harmless Leather Origins, its affiliates, officers, and contractors from and against any claims, liabilities, damages, losses, or legal expenses arising out of:
Your breach of these Terms;
Misuse or improper modification of any protective garment or gear;
Infringement of third-party intellectual property rights resulting from client-supplied specifications or branding.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the commercial and civil laws applicable to international trade contracts. Any dispute, controversy, or claim arising out of or relating to this contract shall first be addressed through good-faith executive negotiation. If unresolved, the dispute shall be submitted to binding commercial arbitration in accordance with standard international arbitration rules.
